Position Overview:

  • In-house legal counsel position based in Algiers to provide legal assistance to the Company’s Business Unit in Algeria, reporting to the Legal Manager for Africa located in Madrid and integrating within E&P EMEA Legal Services.

 

Responsibilities

  • The in-house legal counsel will proactively engage in the daily business activities of the Algeria Business Unit, hereunder providing first class legal assistance to at least the following functions: Supply Chain, Business Unit (development and production), Exploration, HR, BD (M&A), External Affairs and Corporate.  This as per instructions of the Legal Manager following from all matters directed to her/him by corporate/Algerian management or fellow colleagues.

In-house legal counsel’ responsibilities would typically include the following tasks:

  • Analyzing legal regulations and advising the Business Unit, as well as other corporate functions of the country, on regular regulatory reporting duties;
  • Appropriately advise on compliance issues in relation to existing regulations and changes/amendments hereto;
  • Business Development: support in negotiation of acquisitions and divestments;
  • Government relations: assist the Business Unit and exploration department in relations with the governments, including contract obligations and administrative procedures under Algerian law, attending to meetings as necessary;
  • Corporate Matters: execute corporate secretary functions for relevant legal entities such as effectuating appropriate corporate governance, by-laws, incorporation of companies, statutory reforms, powers of attorney, corporate restructuring, capital increase, etc.;
  • Supply Chain Management: drafting and custodian of model contracts, intellectual property, assistance in negotiation with contractors, etc.;
  • Human Resources: labor law, contract revision, consultations on applying regulation, audits by authorities, etc., and
  • Litigation: prosecution and supervision of legal disputes and claims: judicial, contentious administrative and arbitral.
  • The in-house legal counsel may, as directed by the Legal Manager, seek and manage the advice from outside counsel.
  • The nature of the Company's business requires the in-house legal counsel to be flexible in her/his approach to the job. The Company may require the in-house legal counsel, from time to time, to carry out different or additional duties within hers/his skills and/or competences.
  • The in-house legal counsel will be expected to undergo such training as is appropriate to enable employees to develop in her/his respective role.

Qualifications and Key Skills: 

  • Algerian degree in Law (master’s degree preferable)
  • 7 to 10 years’ minimum experience in the oil and gas business acquired in international law firm or companies. Experience from corporate background and from compliance function will be weighted.
  • Qualified as Algerian lawyer.
  • Dynamic, proactive and motivated person. Able to work independently and in teams. Good communication skills.

Additional Information:

  • Languages: English, French and Arabic, Advanced level.
  • Ability to travel in Algeria and abroad if needed.
